License Agreement

After purchasing any of our mold/molds with the intention to produce and sell the item/items commercially, you must copy, fill, sign and return a notarized copy of the the agreement below within 7 days of purchase.

PRODUCT REPRODUCTION LICENSE AGREEMENT

 

This Product Reproduction License Agreement (“Agreement”) is entered into by and between:
Licensor: E‑ZelayaDesigns LLC, a Florida limited liability company.
Licensee: [Customer Name]________________________________

1. Strict Grant of Limited License

The Licensor grants the Licensee a strictly limited, revocable, non‑exclusive, non‑transferable License to manufacture physical items (“Products”) solely through the direct use of the Mold and serial number identified above.

As a condition of this License, the Licensee agrees to pay the Licensor a minimum royalty of four percent (4%) of the retail sale price for each Product sold at a price of twenty dollars ($15.00) or more. Royalties apply to all qualifying sales regardless of platform, location, or method of distribution.

Quarterly Reporting Requirement: The Licensee shall provide the Licensor with a royalty report every calendar quarter (January–March, April–June, July–September, October–December). Each report must include:

• Total number of Products sold

• Sale price of each Product

• Total royalties owed

• Payment submitted with the report

Reports and payments are due within 15 days after the end of each quarter.

This License does NOT grant the right to copy, duplicate, cast, scan, trace, reverse‑engineer, or reproduce the Mold; create derivative molds; allow third‑party access; or sell, loan, rent, or transfer the Mold without written authorization. Any attempt to reproduce or reverse‑engineer the Mold is considered intentional infringement.

2. Intellectual Property Ownership

The Mold design, structure, geometry, and all related intellectual property remain the exclusive property of E‑ZelayaDesigns LLC. The Licensee acquires no ownership rights beyond those expressly granted.

3. Infringing Conduct

The following actions constitute material breach and willful infringement:

• Attempting to replicate or reproduce the Mold

• Producing or commissioning derivative molds

• Allowing third‑party access for reproduction

• Continuing to use the Mold after License revocation

• Concealing unauthorized reproduction

The Licensor may pursue all civil remedies, including injunctions, damages, and seizure of unauthorized molds.

4. Revocation of License

The Licensor may revoke this License immediately and without notice if the Licensee violates any term of this Agreement. Upon revocation:

• All rights terminate instantly

• Production must cease

• The Mold must be returned or destroyed upon demand

• No refunds or compensation will be issued

5. One‑Year Limited Warranty

E‑ZelayaDesigns LLC provides a 1‑year limited warranty covering manufacturing defects, material defects, and structural failure under normal use.

This warranty does NOT cover misuse, neglect, alteration, attempted reproduction, exposure to extreme conditions, improper storage, normal wear, or damage resulting from violation of this Agreement.

Approved claims may result in repair, replacement, or store credit. No cash refunds.

6. Mold Improvements Disclaimer

Due to ongoing design improvements, molds are subject to change without notice. Future versions may differ in appearance, structure, or performance.

7. Serial Number Tracking

Each Mold is assigned a unique serial number beginning with EZ‑ _ _ _ _ _ _. This number verifies authenticity and warranty eligibility. Removal or alteration of the serial number constitutes breach and voids all warranties.

8. Prohibition on Modification

The Licensee may not modify, reshape, alter, or tamper with the Mold. Any modification voids the warranty and constitutes infringement.

9. Transfer Restrictions

The Mold may not be sold, transferred, loaned, rented, or conveyed to any third party without written approval. Unauthorized transfer voids this License.

10. Liquidated Damages Clause

Unauthorized reproduction causes substantial and irreparable harm. The Licensee agrees to pay liquidated damages of $25,000.00 per unauthorized mold, per incident, plus $5,000.00 per day for each day the unauthorized mold or tooling exists.

These damages represent a reasonable estimate of harm and are not a penalty. The Licensor may also seek attorney’s fees, court costs, injunctive relief, and seizure of infringing materials.

11. Acceptance

By purchasing, possessing, or using the Mold, the Licensee agrees to be legally bound by this Agreement.
