EZ™ — E‑ZelayaDesign LLC

PRODUCT REPRODUCTION LICENSE AGREEMENT

This Product Reproduction License Agreement (“Agreement”) is entered into by and between:

Licensor: E‑ZelayaDesign LLC, a Florida limited liability company
Licensee: [Customer Name]
Mold Serial Number: EZ‑[####]
Product: [Name/Description of Mold] (“Mold”)
Effective Date: [Date]

1.Grant of Limited License

The Licensor grants the Licensee a strictly limited, revocable, non‑exclusive, non‑transferable License to manufacture physical items (“Products”) solely through the direct use of the Mold identified by the serial number above.

This License does NOT grant the Licensee any right to:

• Copy, duplicate, cast, scan, trace, reverse‑engineer, or reproduce the Mold
• Create derivative molds or tooling based on the Mold or any Product
• Permit any third party to access, inspect, or use the Mold
• Sell, loan, rent, or transfer the Mold without written authorization

Any attempt to reproduce or reverse‑engineer the Mold is considered intentional infringement and will be treated as such.

2. Intellectual Property Ownership

The Mold design, structure, geometry, and all related intellectual property remain the exclusive property of E‑ZelayaDesign LLC.
The Licensee acquires no ownership rights, design rights, or reproduction rights beyond those expressly granted.

3. Infringing Conduct

The following actions constitute material breach and willful infringement:

• Attempting to replicate or reproduce the Mold in any form
• Producing or commissioning any mold derived from the Mold or Products
• Allowing third‑party access for reproduction purposes
• Continuing to use the Mold after License revocation
• Concealing unauthorized reproduction activities

The Licensor reserves the right to pursue all civil remedies, including injunctions, damages, and seizure of unauthorized molds.

4. Revocation of License

The Licensor may revoke this License immediately and without prior notice if the Licensee:

• Engages in any infringing conduct
• Violates any term of this Agreement
• Attempts to circumvent the Mold’s intended use

Upon revocation:

• All rights granted under this Agreement terminate instantly
• The Licensee must cease all production
• The Licensee must return or destroy the Mold upon written demand
• No refunds or compensation will be issued

Failure to comply may result in legal action.

5. One‑Year Limited Warranty

E‑ZelayaDesign LLC provides a 1‑year limited warranty beginning on the Effective Date.

This warranty covers:

• Manufacturing defects
• Material defects
• Structural failure under normal, intended use

This warranty does NOT cover:

• Damage caused by misuse, neglect, alteration, or attempted reproduction
• Exposure to extreme temperatures, chemicals, or improper storage
• Normal wear and tear
• Any damage resulting from violation of this Agreement

If a claim is approved, the Licensor may, at its sole discretion:

• Repair the Mold
• Replace the Mold
• Issue store credit

No cash refunds are provided.

6. Mold Improvements Disclaimer

Due to ongoing design improvements and quality enhancements, molds are subject to change without notice.
The Licensee acknowledges that future versions of the Mold may differ in appearance, structure, or performance.

7. Serial Number Tracking

Each Mold is assigned a unique serial number beginning with EZ‑[####].
This serial number is used to verify authenticity, warranty eligibility, and licensing status.
Removal, alteration, or defacement of the serial number constitutes immediate breach and voids all warranties.

8. Prohibition on Modification

The Licensee shall not modify, reshape, alter, or tamper with the Mold in any manner.
Any modification voids the warranty and constitutes infringement.

9. Transfer Restrictions

The Mold may not be sold, transferred, loaned, rented, or otherwise conveyed to any third party without the Licensor’s prior written approval.
Any unauthorized transfer automatically voids this License.

10. Liquidated Damages Clause

The Licensee acknowledges that unauthorized reproduction of the Mold causes substantial, irreparable harm to the Licensor, including loss of revenue, dilution of brand value, and competitive damage.

Therefore, in the event of infringement, the Licensee agrees to pay liquidated damages in the amount of:

$25,000.00 (twenty‑five thousand dollars) per unauthorized mold, per incident,

PLUS

$5,000.00 per day for each day the unauthorized mold or derivative tooling remains in existence.

These liquidated damages are not a penalty, but a reasonable estimate of the harm caused by unauthorized reproduction.
The Licensor may pursue additional remedies, including attorney’s fees, court costs, injunctive relief, and seizure of infringing materials.

11. Acceptance

By purchasing, possessing, or using the Mold, the Licensee acknowledges and agrees to be legally bound by all terms of this Agreement.
